Beta Program Agreement

This Beta Program Agreement ("Beta EULA") is a supplement to, and forms part of, the Bifrost Sports Terms of Service (the "Terms") between you and Bifrost Sports LLC, a Texas limited liability company ("Bifrost," "we," "us," or "our"). It governs your participation in the Bifrost Sports closed beta program (the "Beta Program").
In the event of any conflict between this Beta EULA and the Terms during the Beta Period (as defined below), this Beta EULA controls. All other provisions of the Terms, and our Privacy Policy, continue to apply.
Capitalized terms used but not defined here have the meanings given in the Terms.
By clicking "I agree," by activating an invitation, or by otherwise accessing or using the Service during the Beta Period, you agree to this Beta EULA.
1. Beta Period
The "Beta Period" begins on the date you first access the Service under an invitation and continues until Bifrost announces the general availability of the Service, terminates the Beta Program, or terminates your beta access, whichever occurs first. Bifrost may extend, shorten, pause, or end the Beta Period at any time in its sole discretion.
2. Nature of the Beta — No Production Use
You acknowledge and agree that the Service during the Beta Period:
- is a pre-release product provided for testing, evaluation, and feedback only;
- may contain bugs, defects, and errors, produce inaccurate or incomplete results, or fail to function as intended;
- may be unavailable, interrupted, or changed substantially or entirely, with or without notice, including the removal of features you rely on;
- may lose, corrupt, reset, or delete data at any time, in whole or in part; and
- is not licensed or permitted for production use. You will not rely on the Service for any purpose where errors, downtime, or data loss could cause personal, business, financial, legal, medical, or safety harm, including, without limitation, for the running of a real league's official payments, official scorekeeping of record, or critical game or facility schedules.
You assume full responsibility for any use of, or reliance on, the Service during the Beta Period and for maintaining independent backups of any information you would be unwilling to lose.
3. Access Is Invite-Only and Personal
Access to the Beta Program is by invitation only. You will not share, resell, sublicense, transfer, or otherwise provide access codes, invitation links, or credentials to any other person or entity without our prior written consent. We may revoke any invitation at any time and for any reason.
4. No Warranty, No SLA, No Support Commitments
The Service is provided during the Beta Period on an "AS IS" and "AS AVAILABLE" basis, with all faults and without any warranty, service level, uptime, response-time, backup, or support commitment of any kind, whether express, implied, statutory, or otherwise. Without limiting the warranty disclaimer in Section 11 of the Terms, no uptime guarantees, no service level agreement ("SLA"), and no backup or recovery guarantees apply during the Beta Period. Any support we provide during the Beta Period is provided at our discretion and as a courtesy, and does not constitute a promise of future support.
5. Confidentiality of Unreleased Features
As a beta participant you may have access to features, user interfaces, roadmaps, pricing information, and other materials that are confidential to Bifrost ("Beta Confidential Information"). You agree that Beta Confidential Information:
- is owned by, or licensed to, Bifrost;
- will be held in strict confidence and used solely for the purpose of evaluating and providing Feedback on the Service;
- will not be publicly disclosed, shared with competitors, or included in media coverage, blog posts, social-media screenshots, reviews, or any other public-facing material, without our prior written consent; and
- will not be disclosed to any third party other than a third party who has signed a written confidentiality agreement with you on terms no less protective than this Section 5.
You may discuss your general impressions of the Service privately with friends, family, and teammates, but you will not publish or distribute feature lists, screenshots, video captures, roadmap information, or pricing information. The obligations in this Section 5 will survive the end of the Beta Period until the relevant information becomes publicly available through no fault of yours.
6. Feedback
We welcome your feedback, bug reports, feature requests, and suggestions about the Service ("Feedback"). Section 6 (Feedback) of the Terms applies to all Feedback you provide during the Beta Period. Without limiting that section, you confirm that:
- You provide all Feedback voluntarily and without expectation of compensation, credit, attribution, or any obligation on our part to use it;
- Bifrost is free to use, copy, modify, publish, distribute, sublicense, and otherwise exploit Feedback for any purpose, in any form, in any medium, and without restriction; and
- You waive any moral rights and similar rights of authorship in Feedback to the maximum extent permitted by applicable law.
7. Data During the Beta
You acknowledge that data you enter during the Beta Period — including teams, rosters, schedules, stats, messages, photos, payment records, expenses, and other content — may be reset, reverted, migrated, archived, anonymized, or deleted at any time, with or without notice, including in connection with:
- deployment of new features, schema migrations, or bug fixes;
- scheduled or unscheduled data resets for testing;
- the transition from the Beta Program to the general-availability Service; or
- termination of the Beta Program or your beta access.
Bifrost may, but is not obligated to, migrate any Beta-Period data to the production Service at general availability. We will make commercially reasonable efforts to preserve production-quality data (such as confirmed team fees processed by Stripe), but we do not guarantee the preservation of any data during the Beta Period. Do not store anything in the Service during the Beta Period that you cannot afford to lose.
8. No Compensation; No Obligation to Incorporate Feedback
Beta access is provided at no charge. You are not entitled to any compensation, payment, or benefit for your participation, for the Feedback you provide, or for any usage of the Service. Bifrost has no obligation to incorporate any Feedback, to release any feature you test, or to provide you with access to the generally available Service after the Beta Period.
9. Liability During the Beta Period
Your use of the Service during the Beta Period is subject to the disclaimers and limitations in Sections 11 and 12 of the Terms, which are expressly incorporated here by reference and which apply to this Beta EULA. Without limiting those sections, you acknowledge that beta software carries elevated risk and you assume that risk.
10. Termination of the Beta Program
Bifrost may:
- modify, suspend, or discontinue all or any part of the Beta Program at any time;
- revoke your beta access at any time for any reason or no reason; and
- terminate this Beta EULA immediately upon notice.
Upon termination of the Beta Program, this Beta EULA will expire, and your continued access to the Service (if any) will be governed by the Terms or by a new end user agreement issued by Bifrost at that time.
11. Click-Through Acceptance and Recordkeeping
The Service will present this Beta EULA for acceptance before the Service becomes usable under an invitation. Bifrost records the date, time, IP address, account identifier, and document version associated with each acceptance for evidentiary purposes. If we materially update this Beta EULA during the Beta Period, we may re-present it for acceptance, and continued use of the Service after the re-presentation constitutes acceptance of the updated version.
12. Miscellaneous
This Beta EULA is governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-laws principles. Sections 13 (Dispute Resolution — Arbitration and Class Action Waiver) and 14 (Governing Law and Venue) of the Terms apply to this Beta EULA. If any provision of this Beta EULA is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
